Terms & Conditions

Understand the governing guidelines for using our services, licensing, and cloud hosting.

Welcome to Digisoft Services. By purchasing TallyPrime licenses, subscribing to Tally on Cloud hosting, or booking custom development and maintenance support from us, you agree to comply with and be bound by the following Terms and Conditions.

1. Product Licenses & Upgrades

  • All TallyPrime Silver, Gold, or Server software licenses are governed directly by the End User License Agreement (EULA) of Tally Solutions Pvt. Ltd.
  • To receive online statutory updates, remote access features, and security patches, clients must renew their annual Tally Software Service (TSS) subscription. Failing to renew TSS does not disable offline transaction recording but limits software update features.

2. Cloud Hosting Subscription & Terms

  • Our Tally on Cloud subscription is billed in advance on an annual or quarterly basis.
  • Server storage capacity and performance configurations (vCPU and RAM) correspond strictly to your chosen plan. Exceeding system thresholds may necessitate plan upgrades.
  • If a subscription is not renewed within 15 days of the due date, Digisoft Services reserves the right to suspend server access. Customer data directories are safely exported and archived for up to 30 days before permanent deletion from active servers.

3. Support Limitations & Backup Responsibilities

  • Our technical support extends to configuration, software updates, client connection setups, custom modules, and data migration. It does not include standard bookkeeping, accounts auditing, or professional business tax advisory services.
  • For offline physical installations, clients must maintain daily offline backup directories. While we implement cloud backup schedules for hosted clients, they are strongly advised to regularly download local offline archives of their critical company data.

4. Modifications to Terms

We reserve the right to modify these Terms and Conditions at any time. Any changes will be posted on this page with an updated revision date. Continual use of our licensing or hosting services constitutes acceptance of the modified Terms.

5. Governing Law

These terms and conditions are governed by and construed in accordance with the laws of India, and any disputes will be subject to the exclusive jurisdiction of the courts of Noida (Uttar Pradesh) or New Delhi.
